Terms of Service

1. Acceptance of Terms
By accessing or using the Property Nudge platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Property Nudge ("we," "us," or "our").
2. Description of Service
Property Nudge is a cloud-based property management platform that helps landlords and property managers organize properties, manage leases, collect rent, track maintenance, and communicate with tenants. The Service is provided "as is" and "as available."
3. Account Registration
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must be at least 18 years old to use the Service.
- You must notify us immediately of any unauthorized use of your account.
4. Subscription Plans & Billing
4.1 Free Plan
The Free plan allows management of up to 3 properties with basic features. The Free plan may be modified or discontinued at our discretion with reasonable notice.
4.2 Pro Plan
The Pro plan provides unlimited properties and additional features as described on our Pricing page. Pro subscriptions are billed monthly or annually at the rates listed at the time of purchase.
4.3 Payment Processing
All payments are processed securely through Stripe. By subscribing, you authorize us to charge the payment method on file at the beginning of each billing period. You agree to Stripe's terms of service for payment processing.
4.4 Cancellation
You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to Pro features until the end of your current billing period. No refunds will be issued for partial billing periods.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Upload malicious code, viruses, or other harmful content.
- Attempt to gain unauthorized access to the Service or other users' accounts.
- Use the Service to harass, abuse, or harm others.
- Scrape, crawl, or use automated tools to extract data from the Service.
- Resell or sublicense access to the Service without our written consent.
- Interfere with or disrupt the Service's infrastructure or performance.
6. Data & Content Ownership
6.1 Your Data
You retain ownership of all data you input into the Service, including property information, tenant details, financial records, and uploaded documents. We do not claim ownership of your data.
6.2 License to Us
By using the Service, you grant us a limited, non-exclusive license to process, store, and display your data solely for the purpose of providing the Service to you.
6.3 Our Content
The Service, including its design, code, features, and documentation, is owned by Property Nudge and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.
7. Rent Collection & Financial Disclaimer
Property Nudge facilitates rent collection through Stripe Connect but is not a financial institution. We are not responsible for:
- Payment disputes between landlords and tenants.
- Failed or delayed payments due to tenant's payment method issues.
- Tax calculations or financial advice — our financial tools are for tracking purposes only. Consult a qualified accountant for tax advice.
- Stripe fees, chargebacks, or payment processing issues governed by Stripe's terms.
8. Tenant Screening Disclaimer
Property Nudge provides screening request management tools. We are not a Consumer Reporting Agency and do not provide background checks, credit reports, or tenant verification services directly. Any screening decisions are your sole responsibility and must comply with the Fair Housing Act and all applicable local, state, and federal laws.
9. Limitation of Liability
To the maximum extent permitted by law, Property Nudge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.
Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
11. Indemnification
You agree to indemnify and hold harmless Property Nudge, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination.
13. Changes to Terms
We may update these Terms from time to time. We will notify registered users of material changes via email or in-app notification at least 30 days before changes take effect. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
